BNB Plus Corp. filed an amendment to its Form 8-K on October 2, 2026, to correct an administrative error regarding its securities listing. The company stated that the original filing, submitted on October 1, 2026, incorrectly identified The Nasdaq Stock Market as the exchange where its common stock is registered. The amendment clarifies that BNB Plus Corp. securities are registered on the OTCQB Venture Market.

The correction addresses a specific inaccuracy on the cover page of the original report, which was filed pursuant to Section 13 or 15(d) of the Securities Exchange Act of 1934. BNB Plus Corp., incorporated in Delaware and headquartered in Stony Brook, New York, identified the error as inadvertent. The company noted that no other changes were made to the original Form 8-K, which reported on the entry into a material definitive agreement.

The underlying agreement, dated September 28, 2026, is a Second Amendment to a Registration Rights Agreement originally signed on May 26, 2026. This amendment was executed with holders of at least 50.1% of the registrable securities, including Comstock Multichain Fund and KGPLA Holdings LLC. The previous agreement required the company to file a registration statement within 30 days of May 26, 2026, a deadline later extended to 30 days after the final closing of the related private securities offering.

The Second Amendment removed this automatic registration requirement. Instead, it replaced the obligation with a demand-based process. The company is now required to file a registration statement only when holders of at least 51% of the outstanding registrable securities submit a demand. Upon receiving such a demand, BNB Plus Corp. must prepare and file the registration statement within 45 calendar days. Holders are limited to making no more than two demands under this provision.

In connection with the amendment, each signatory irrevocably waived any claims related to the company's failure to perform obligations under the prior agreement that occurred on or before September 28, 2026. The full text of the Second Amendment is attached as Exhibit 10.1 to the current report. Clay Shorrock, Chief Executive Officer of BNB Plus Corp., signed the filing on behalf of the registrant.
