United States Antimony Corporation (UAMY) entered into a three-year employment agreement with Chief Executive Officer Gary C. Evans, a move the company disclosed in a Form 8-K filed with the Securities and Exchange Commission. The filing, dated October 2, 2026, details the terms of the contract, which is effective as of August 1, 2026, and outlines specific financial obligations for the company should Evans leave the firm under certain conditions.
The agreement sets Evans' annual base salary at $430,000, subject to annual review. He remains eligible for an annual bonus based on performance goals established by the Compensation Committee in consultation with the Board of Directors. Evans will also participate in company benefit plans and receive five weeks of paid vacation each year, consistent with policies for senior executives.
The filing details significant severance protections tied to changes in control. If a change in control occurs during the term of the agreement and Evans is terminated without cause or resigns for good reason within twenty-four months following that event, the company will pay him an amount equal to two times his then-current base salary and target bonus for the immediately prior calendar year. This payout would be distributed in substantially equal installments over twenty-four months, subject to his compliance with restrictive covenants and the execution of a mutual general release of claims.
In scenarios where Evans is terminated without cause or resigns for good reason prior to a change in control, or more than twenty-four months after such an event, the company will pay one-and-a-half times his then-current base salary and target bonus. These payments would be made in substantially equal installments over eighteen months in accordance with normal payroll practices. Additionally, he would receive a pro-rated bonus for the calendar year in which the termination occurs. Within thirty days of the termination date, the company must pay any accrued obligations in a lump sum cash payment.
The agreement includes non-competition and non-solicitation covenants covering customers, prospective customers, and personnel. These restrictions apply during his employment and continue for periods between one and two years following his termination of employment. The full text of the Employment Agreement is filed as Exhibit 10.1 to the report.
Shawn P. Winkler, SVP and Chief Financial Officer, signed the report on behalf of United States Antimony Corporation. The company is incorporated in Texas and its common stock trades on the NYSE under the ticker symbol UAMY.
