Calisa Acquisition Corp shareholders voted to approve the business combination with Goodvision AI Inc. at an extraordinary general meeting held on October 8, 2026. The approval clears the way for the Cayman Islands-based SPAC to complete its merger, a deal first agreed upon in March 2026.
The company, which trades on Nasdaq under the ticker ALIS, presented six proposals to security holders. Five of these were put to a vote and approved by the shareholders present in person or by proxy. The sixth proposal, concerning the adjournment of the meeting, was not voted on because a quorum was established and the other matters were successfully passed.

The name change proposal allows the company to transition from Calisa Acquisition Corp to Goodvision AI Holding Limited, effective upon filing with the Registrar of Companies in the Cayman Islands.
Additional approvals cover the issuance of ordinary shares to comply with Nasdaq listing rules and significant changes to the company's capital structure. The governing documents proposal redesignates the company's authorized share capital into Class A and Class B ordinary shares. Specifically, 266,666,666 shares will become Class A ordinary shares and 2,666,666 shares will become Class B ordinary shares, all with a par value of US$0.000075 each. The company also adopted a new 2026 Equity Incentive Plan, effective upon the completion of the transaction.
Hongfei Zhang, Chief Executive Officer of Calisa Acquisition Corp, signed the Form 8-K current report dated October 8, 2026. The company stated it is currently working to satisfy all remaining closing conditions and intends to consummate the business combination as soon as practicable.
