Cable One, Inc. (CABO) has agreed with Mega Broadband Investments Holdings LLC (MBI) and certain affiliates of GTCR LLC to extend the closing date for the acquisition of remaining equity interests in MBI. The new deadline is October 9, 2026, or an earlier date mutually agreed upon by the parties, replacing the previously anticipated October 1, 2026, closing.
The extension pertains to the Purchase Agreement originally signed on January 3, 2026. Under this agreement, Cable One is acquiring the equity interests in MBI that it did not already own. The transaction involves MBI, a Delaware limited liability company; Mega Broadband Blocker, LLC; GTCR Fund XII/C LP; Major Merger Sub LLC, a wholly-owned subsidiary of Cable One; and GTCR Fund XII/B, which serves as the equityholders' representative.
In a separate disclosure under Item 8.01, Cable One stated that its engagement with potential investors regarding a financing transaction connected to the MBI Purchase has concluded. The company previously entered into confidentiality agreements with these investors to discuss the potential financing.
The filing includes standard cautionary statements regarding forward-looking information. Cable One noted that such statements involve risks and uncertainties, including those related to the exercise of the Put Option associated with remaining MBI equity interests, which was exercised on January 2, 2026. The company highlighted risks concerning its ability to fund the Put Price, MBI's future indebtedness, and its overall financial condition.
The report lists several factors that could cause actual results to differ from forward-looking statements. These include rising competition, changes in technology, risks associated with artificial intelligence usage, and the ability to grow residential and business data revenues. Additional factors cited include increases in programming costs and retransmission fees, vendor support issues potentially linked to trade policy changes, and risks related to acquisitions and strategic investments.
Cable One also identified network security, intellectual property rights, internal controls over financial reporting, and legislative or regulatory efforts as potential sources of variance. Other listed risks include the impact of the company's level of indebtedness on its operations and cash flows, restrictions placed by debt terms on corporate actions, and the possibility of rising interest rates increasing costs for variable-rate indebtedness.
