Bluerock Homes Trust, Inc. (NYSE American: BHM) expanded its Board of Directors from five to six members on October 19, 2026, and elected Michael L. Konig to the new seat. The board made the change pursuant to the company's bylaws, acting on a recommendation from its Nominating and Corporate Governance Committee. Konig will serve until the company's 2027 annual meeting of stockholders or until a successor is elected, and the company intends to nominate him for re-election at that time.
The board determined that Konig qualifies as an independent director under NYSE American listing standards and SEC rules. In addition to his board seat, he was appointed to the Compensation Committee and the Nominating and Corporate Governance Committee effective October 19, 2026. Konig will participate in the company's standard non-employee director compensation program, with compensation prorated for his service during the current board term as detailed in the company's 2026 Definitive Proxy Statement filed on April 14, 2026.
Konig brings over 30 years of experience in law and business, having been retired since 2022. From October 2017 to October 2022, he served as Chief Legal Officer and Secretary of Bluerock Residential Growth REIT, Inc. through his wholly-owned limited liability company, Konig & Associates, LLC. Prior to that role, he held positions as Chief Operating Officer, General Counsel, and Secretary for both Bluerock Residential Growth REIT, Inc. and its then external manager, BRG Manager, LLC, from November 2013 to October 2017. His tenure at Bluerock entities dates back to 2004, when he joined Bluerock Real Estate, LLC, serving in various senior legal and management capacities including General Counsel.
Before joining the Bluerock ecosystem, Konig served as legal counsel and General Counsel at New World Restaurant Group, Inc., now known as Einstein Noah Restaurant Group, Inc., from 1998 to 2002. From 2002 to December 2004, he served as Senior Vice President at Roma Food Enterprises, Inc., overseeing operations and the restructuring and sale of the privately held firm with approximately $300 million in annual revenues. His legal career began at Ravin Sarasohn Cook Baumgarten Fisch & Baime in 1987, followed by a role at Greenbaum Rowe Smith & Davis until 1997, where he represented borrowers and lenders in real estate financing transactions and Chapter 11 reorganizations.
Konig holds a J.D. degree cum laude from California Western School of Law (1987), an M.B.A. in Finance from San Diego State University (1988), and a Bachelor of Commerce from the University of Calgary (1982). The company stated there are no family relationships between Konig and any other director or executive officer, nor any arrangement or understanding regarding his selection as a director. The company expects to enter into an indemnification agreement with Konig in substantially the same form as those with other directors, requiring indemnification to the fullest extent permitted by Maryland General Corporation Law.
